1. Privacy Statement
Digitale LLC (“Digitale,” “we,” “us,” “our”) is committed to protecting the privacy and security of information in accordance with the Maryland Personal Information Protection Act (PIPA) and the Maryland Consumer Protection Act (MCPA).
This Privacy Statement explains how we collect, use, store, share, and protect information when you access or use our Infor M3 add-on tool (“the Service”).
1.1 Information We Collect
We may collect:
- Information You Provide: Name, email address, phone number, company, job title, and information submitted during registration or support interactions.
- Account Data: Login credentials (stored in encrypted form) and profile information.
- Usage Data: IP address, browser type, device details, pages accessed, and interaction logs.
- ERP / API-Processed Data: Temporary ERP data processed solely to fulfill your requests. This is automatically deleted shortly after processing.
Digitale LLC does not sell personal information or transfer it in exchange for monetary or other valuable consideration, consistent with Maryland consumer privacy standards.
1.2 How We Use Your Information
We use your data to:
- Provide, operate, and improve the Service.
- Authenticate your account and provide technical support.

Pursuant to Md. Com. Law §§14-3501–3508, Digitale LLC will:
- Investigate any suspected breach.
- Take containment steps.
- Notify affected Maryland residents and regulators as legally required.
- Provide details of the breach, steps taken, and recommended protective measures.
1.5 Data Retention
- Account data is retained while your account is active and for a reasonable period afterward.
- Temporary processing data is deleted automatically within a short operational window.
- Logs may be retained for compliance and security consistent with Maryland law.
1.6 Your Rights
Maryland users may:
- Request access to personal information.
- Request correction of inaccurate data.
- Request deletion of personal information (unless retention is legally required).
- Withdraw consent for non-essential communications.

2. Terms & Conditions
These Terms govern your use of the Digitale LLC Infor M3 add-on tool (“the Service”). By accessing the Service, you agree to be bound by these Terms.
2.1 Eligibility & Account Responsibilities
- You must be at least 18 years old and capable of entering a binding contract.
- You must provide accurate information and maintain account security.
- You are responsible for all activities conducted under your account.
2.2 License to Use the Service
Digitale LLC grants a limited, non-exclusive, revocable, non-transferable license for your internal business purposes.
You may not:
- Reverse engineer or decompile the software.
- Circumvent security features.
- Use the Service to damage systems or engage in unlawful conduct.
- Resell or sublicense access without our written consent.
2.3 Email & Communication Consent
By creating an account, you consent to receive account notifications, security alerts, billing notices, product updates, and free trial/renewal reminders.
You may opt out of marketing communications but not essential operational messages.
2.4 Data Processing & ERP Disclaimer
You acknowledge that:
- You are responsible for the accuracy of uploaded or processed data.
- You must validate ERP outputs.
- Digitale is not responsible for external system limitations, configuration issues, or outages.
- No business results or performance outcomes are guaranteed.
2.5 Service Availability
We strive for high availability but do not guarantee uninterrupted Service. Maintenance and third-party outages may impact uptime.
2.6 Limitation of Liability
To the maximum extent permitted by Maryland and U.S. law:
- We are not liable for indirect, incidental, or consequential damages.
- Our total liability is limited to the fees paid in the prior 12 months.
- For free or trial accounts, your sole remedy is discontinuing use.
2.7 Indemnification
You agree to indemnify Digitale LLC from claims arising from misuse of the Service, violation of these Terms, data you upload or process, or unauthorized account access caused by your actions.
2.8 Termination
We may suspend or terminate access for terms violations, security risks, fraud, or nonpayment. You may terminate your account by contacting support@digitalellc.com.
2.9 Governing Law & Maryland Arbitration Notice
These Terms are governed by Maryland law. Disputes will first undergo good-faith negotiation. If unresolved, they may be submitted to binding arbitration in Maryland except where prohibited for Maryland consumers under Md. law, in which case statutory protections apply.
2.10 Maryland Automatic Renewal Law Compliance (§14-1315)
For Maryland users:
- Renewal terms will be clearly disclosed at signup.
- For subscriptions 12 months or longer, renewal notices will be sent 30–60 days before renewal.
- Cancellation must be easy and may be completed via email or account settings.
3. Refund & Cancellation Policy
This Policy applies to paid subscriptions.
3.1 Free Trial
- Free trials may be offered at our discretion.
- No charges apply during the trial.
- Reminder notices will be sent in accordance with Maryland law.
3.2 Subscription Renewals & Cancellation
- Subscriptions may renew automatically.
- Cancellation is effective at the end of the billing period.
- Maryland residents may cancel via email without barriers.
- Renewal notices provided per Md. §14-1315.
3.3 Refunds
Refunds may be granted for duplicate charges, billing errors, unauthorized charges, or cases where Maryland law requires refunds.
3.4 Non-Refundable Items
Completed billing periods, custom development or consulting services, and discounted or promotional plans (unless legally mandated otherwise) are non-refundable.
4. SaaS Subscription Agreement
This Agreement applies to organizational customers.
4.1 Subscription Grant
Digitale LLC grants a limited, non-transferable right to access the Service for the subscription term.
4.2 Payment Terms
- Fees are due in advance unless otherwise stated.
- Failure to pay may result in suspension.
- Customers are responsible for applicable taxes.
Maryland Digital Goods / SaaS Tax Compliance: Digitale will apply Maryland sales tax to digital goods and SaaS where required under the Maryland Digital Products Tax Expansion (2021).
4.3 Usage Restrictions
You may not share accounts beyond licensed users, use the Service to build a competing product, or circumvent usage limits.
4.4 Data Ownership
Customer retains ownership of uploaded data. Digitale may use anonymized, aggregated data for analytics and product improvement.
4.5 Support
Standard support via support@digitalellc.com. Additional support terms may be separately contracted.
5. End User License Agreement (EULA)
5.1 License
Authorized users receive a non-transferable license for internal business use only.
5.2 Intellectual Property
Digitale LLC retains all ownership and intellectual property rights. All rights not expressly granted are reserved.
5.3 Prohibited Uses
You may not decompile, disassemble, or reverse engineer; modify, copy, or create derivative works; or use the Service for benchmarking or competitive analysis.

API Usage: The Service interacts with external systems via APIs. Digitale LLC is not responsible for:
- Third-party API failures or network outages.
- ERP configuration issues.
- System deprecations or rate limits.
9. Security & Compliance Statement
Digitale LLC follows industry-standard security practices including HTTPS/TLS encryption, secure password hashing, role-based access controls, and regular security reviews.
